These Terms of Service ("Terms") govern your use of euroventro.com (the "Platform"), operated by SIA EuroVentro ("EuroVentro", "we", "us"), a limited liability company registered in the Republic of Latvia (registration number — pending —, VAT — pending —, registered address Svētes iela 2, LV-2167 Mārupe, Latvija).

EuroVentro is an information-society services provider (an IT/technology company). We are not a transport company. Our role is described in Section 1. By using the Platform you accept these Terms.

1. What EuroVentro is — and is not

1.1. EuroVentro operates an online platform (the "Platform") that connects independent licensed road transport providers ("Carriers") with members of the public who wish to book those Carriers' transport services ("Customers" — passengers or shippers).

1.2. EuroVentro is not a transport company, freight forwarder, courier, or travel agency. We do not own, operate, lease, or maintain vehicles. We do not employ or sub-contract drivers. We do not plan, perform, or supervise transport services. We do not handle, hold, or move passengers, animals, baggage, parcels, or freight.

1.3. EuroVentro provides the following services only: software-based listing of transport offers (made by Carriers), booking management, payment collection on behalf of Carriers, customer messaging, and dispute facilitation as described in these Terms.

2. The transport contract is between Customer and Carrier

2.1. When a Customer books transport on the Platform, a transport contract is formed directly between the Customer and the Carrier. EuroVentro is not a party to that contract.

2.2. The Carrier alone is responsible for the transport service: vehicle condition, driver competence, route, schedule, safety, insurance, customs, permits, handling of passengers / animals / cargo, and compliance with all applicable laws.

2.3. EuroVentro acts solely as: (a) a technology intermediary facilitating discovery and booking, and (b) a payment facilitator collecting funds from Customers on behalf of Carriers and remitting them via Stripe Connect.

3. Account

You must be 18 or older to register. You agree to provide accurate information and keep it current. You are responsible for activity under your account; keep your password confidential.

4. Bookings & payments (Customers)

4.1. Confirming a booking authorizes EuroVentro (via Stripe) to charge your payment method for the total shown in the booking summary. The displayed price comprises the Carrier's transport fee plus EuroVentro's platform fee. VAT is included where applicable.

4.2. Trips marked as requiring Carrier approval are pending until accepted; we notify you within 24 hours. Your payment is authorized but not captured until acceptance.

4.3. You must declare items truthfully. Items must comply with applicable laws and any restrictions stated by the Carrier. Prohibited items include weapons, drugs, hazardous materials, stolen property, and unaccompanied minors without written parental authorization.

4.4. EuroVentro does not inspect, verify, or take custody of any item. All declarations are made by you to the Carrier.

5. Carriers as our clients

5.1. Carriers are independent businesses that use the Platform under a Carrier Agreement (which incorporates these Terms by reference). Carriers are EuroVentro's commercial clients; they pay EuroVentro a platform commission.

5.2. Carriers warrant that they hold valid licenses, vehicle insurance, road-transport permits, and any other authorizations required in the jurisdictions they serve. EuroVentro relies on these warranties but does not independently verify each Carrier's credentials.

5.3. EuroVentro retains a platform commission of approximately 15% on each completed booking. Payouts are processed via Stripe Connect.

5.4. Carriers are independently responsible for tax declarations, VAT, road tolls, fuel duties, vehicle insurance, employment-law compliance, and adherence to all transport regulations.

6. Cancellations & refunds

6.1. The cancellation schedule below is mandatory across the Platform; Carriers agree to honour it as a condition of using the Platform.

Customer cancellation:

Carrier cancellation: the Customer receives a full 100% refund, processed within 5 business days. The Carrier may incur platform penalties.

Force majeure (severe weather, road closures, government restrictions, illness with documentation): full refund, no penalties either side.

6.2. Refunds are issued by EuroVentro on behalf of the Carrier to the Customer's original payment method. Time to appear depends on the Customer's bank (typically 3–10 business days).

7. Disputes

7.1. Disputes regarding the transport service itself (loss, damage, delay, missed pickup, vehicle issues, driver conduct, etc.) are between the Customer and the Carrier. Both parties agree to attempt to resolve such disputes directly and in good faith.

7.2. EuroVentro may, at its sole discretion, offer voluntary mediation or freeze the disputed payment pending resolution. EuroVentro is not obligated to mediate, decide, or compensate for transport-related disputes.

7.3. Disputes regarding the Platform itself (e.g. a payment was charged but no booking was made) should be raised with us at [email protected]; we aim to reply within 48 hours.

7.4. EU consumers may use the Online Dispute Resolution platform: ec.europa.eu/consumers/odr.

7.5. These Terms are governed by Latvian law. Disputes arising from these Terms are subject to the exclusive jurisdiction of the courts of Riga, Latvia, except where mandatory consumer-protection law in your country of residence provides otherwise.

8. Liability — read carefully

8.1. Because the transport contract is between Customer and Carrier (Section 2), EuroVentro is not liable for any loss, damage, theft, delay, accident, personal injury, breach of contract, or any other incident arising before, during, or after the transport service. The Carrier is solely and fully responsible.

8.2. Without limiting clause 8.1, EuroVentro specifically disclaims all liability arising from: lost or damaged luggage; lost, injured, or distressed animals or pets; passenger injury or illness; vehicle accidents; route changes; schedule changes; missed connections; failure of the Carrier to perform; conduct or condition of drivers; condition or roadworthiness of vehicles; insurance shortfalls; or non-compliance by the Carrier with any law or regulation.

8.3. To the maximum extent permitted by law, EuroVentro's total aggregate liability arising from any matter relating to the Platform itself (such as platform downtime, payment errors, or data inaccuracies) is limited to the platform fee EuroVentro retained from the booking giving rise to the claim.

8.4. Customers are strongly advised to obtain appropriate insurance for valuable items, themselves, their pets, and their cargo. EuroVentro does not provide insurance of any kind.

8.5. Nothing in these Terms limits liability for death or personal injury caused by EuroVentro's own negligence in operating the Platform, for fraud, or for any liability that cannot be excluded under applicable law.

9. Prohibited use

You may not use the Platform to ship illegal goods, traffic persons, evade taxes, or commit any crime. We may suspend or terminate accounts that violate these Terms.

11. Changes

We may update these Terms. Material changes will be emailed to you at least 14 days before they take effect. Continuing to use the Platform after changes take effect constitutes acceptance.
